eCommerce Purchase Terms

The customer identified (“Subscriber”) hereby purchases a subscription to The RockED Company Inc.’s, a Delaware corporation (the “Company”), RockED (the “Subscription”), on the terms and conditions set forth in this Customer Order Form (this “Order Form”) and the The RockED Company Inc. Customer Agreement attached hereto as Annex A and incorporated herein by reference (as may be amended from time to time, the “Customer Agreement”). If you are executing this Order Form on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such company or other legal entity to the terms and conditions set forth in this Order Form and in the Customer Agreement, in which case the terms “you”, “your”, or “Subscriber” shall refer to such company or other legal entity.

This Order Form shall be effective upon the Company’s receipt of Subscriber’s Subscription Fee.

Authorized Users

Subscriber employees, staff personnel or independent contractors working or employed by Subscriber at the Authorized Site Location.  Access and login or account credentials will only be provided to and may only be used in conjunction with a Subscriber issued email address associated with the Authorized Site Location Domain. 

Subscription Term

Unless earlier terminated pursuant to Section 11 of the Customer Agreement, the Subscription shall be a twelve (12) months Subscription commencing on the date that the “RockED” application goes live at the Authorized Site Location (the “Term”). The Subscription shall automatically renew for another twelve (12) months on the same terms set forth in this Order Form unless either Subscriber or the Company provides the other with written notice of its intention to not renew prior to the start of the next twelve (12) months period of the Term. The Subscription will be renewed using the payment method currently associated with your account. In most cases, you will be notified in advance of impending renewals however, you expressly agree to waive the application of New York General Obligations Law section 5-903 and any similar laws to the extent you are not notified in advance. In the event you desire to cancel the Subscription prior to the start of the next month of the Term, please email payments@rocked.us with the subject line “Termination of Subscription” and the Company will process your request accordingly.

Subscription Fees

The Subscription Fee shall be due at entering your credit card and payment details and payable monthly in advance. Please note that the Subscription Fee stated is exclusive of taxes.
